Afin de pouvoir acquérir un bien immobilier à moindre frais, il est possible d’acquérir des parts sociales au sein d’une Société Civile Immobilière d’Attribution, dont les modalités de gestion, fonctionnement sont régies par des statuts.
Le plus souvent, la SCIA a pour objet social la mise à disposition de ses associés d’un droit de séjour dans l’immeuble ainsi que des services se rattachant à ce dernier.
L’associé acquiert des parts correspondant à la possibilité de jouir d’un lot de l’immeuble (appartement ou maison) pour une période définie.
Par exemple, il sera possible à l’associé de se rendre dans son appartement au ski pour la période allant du 1er au 15 juin de chaque année.
Dès lors, l’associé est tenu de régler les charges afférentes en proportion de son nombre de parts et donc aux charges afférentes à ses semaines de jouissance.
Cependant, il est possible que l’associé souhaite se retirer de la société.
En général, les statuts de la SCIA prévoient les conditions de retrait.Restent que ces dernières peuvent être particulièrement contraignantes et dans ce cas, il est alors possible pour l’associé de faire valoir son droit de retrait devant les juridictions compétentes.
1 – Les dispositions légales
Selon l’article 19-1 de la loi du 6 janvier 1986 :
« Nonobstant toute clause contraire des statuts, un associé peut se retirer totalement ou partiellement de la société, après autorisation donnée par une décision unanime des associés. Ce retrait peut également être autorisé pour justes motifs par une décision de justice, notamment lorsque l’associé est bénéficiaire des minima sociaux ou perçoit une rémunération inférieure au salaire minimum interprofessionnel de croissance, ou lorsque l’associé ne peut plus jouir du lot qui lui a été attribué du fait de la fermeture ou de l’inaccessibilité de la station ou de l’ensemble immobilier concerné. (…) »
Le retrait judiciaire est donc possible dès lors que l’associé justifiera d’un juste motif.
Est considéré comme un juste le fait de :
- n’avoir pour seules ressources que le RSA ou les allocations familiales
- percevoir une rémunération inférieure au SMIC
- ne plus pouvoir se rendre dans son bien du fait de l’inaccessibilité de celui-ci.
D’autres événements peuvent également justifier l’exercice du droit de retrait, comme le confirme une réponse ministérielle :
« Les deux exemples prévus à l’article 19-1 ne sont cependant pas limitatifs et il appartient au juge d’apprécier chaque situation. En effet, une telle possibilité de retrait doit demeurer encadrée afin de ne pas léser les intérêts des associés restant qui seront conduits, à l’occasion de la mise en oeuvre de cet article, à supporter les charges des associés sortants. »[1]
La notion de juste motif est d’appréciation souveraine des juges.
2 – L’appréciation particulièrement stricte de la jurisprudence
Ces derniers ont pu retenir que des éléments touchant à la situation personnelle de l’associé pouvaient constituer un juste motif, tel notamment que l’état de santé[2].
Le plus souvent, il est vrai que l’état de santé de l’associé ne lui permet plus de se rendre sur place et de pouvoir jouir de son temps partagé.
Ainsi, il a pu être jugé que l’état de santé de l’associé, qui rend ses déplacements extrêmement difficiles voire impossibles et le prive de la jouissance de ses droits dans l’immeuble social, constitue un juste motif de retrait indépendamment de toute convenance personnelle[3].
N’en demeure pas moins que la jurisprudence semble particulièrement stricte dans l’appréciation de ce motif : même si l’état de santé de l’associé rend ses déplacements impossible, la jurisprudence ajoute de nouvelles conditions à réunir pour bénéficier du droit de retrait…
Elle estime que l’état de santé de l’associé ne l’empêche pas pour autant de jouir des droits sociaux attachés aux parts sociales à savoir :
- faire profiter son entourage de son bien ;
- mettre le bien en location ;
- vendre ses parts sociales.
Ce n’est que lorsque l’associé aura justifier de ne plus pouvoir jouir de son bien, de ne pas avoir pu le mettre en location et de ne pas avoir pu vendre ses parts qu’il pourra espérer obtenir une décision favorable de la juridiction.

La jurisprudence créé de façon prétorienne des conditions de plus en plus contraignantes pour l’associé qui souhaite exercer son droit de retrait judiciaire.
Toujours est-il qu’il s’agit d’une interprétation jurisprudentielle et que rien n’empêche les juridictions de statuer en contradiction avec la position adoptée par ses semblables.
Cependant, il est important pour l’associé de s’attarder sur la lecture des statuts pour connaître les modalités de retrait et ainsi éviter d’avoir à ester en justice où l’aléa judiciaire s’avère particulièrement présent dans ce type de dossier.
